Fair
During June 27 and 28, RayYin & Partners attended
2008 China (Shenzhen) International Investment and
Trade Fair sponsored and hosted by China Council
for the Promotion of International Trade, the People’s
Government of Shenzhen Municipality, China Investment
Association, China Association of Small and Medium
Enterprises etc. More than 500 members participated
in this event involved with different areas, such
as corporate finance, business co-operation, international
investment co-operation, intermediary investment
services etc. During the event, RayYin & Partners
made extensive contacts and communications with
domestic and foreign colleagues, including Venture
Capital Company, investment banks, accounting firms,
foreign chambers of commerce. The in-depth negotiations

Expansion in Indian Market
RayYin&Partners was recently invited to attend
an India Electronic Purchasing Delegation Shenzhen
Conference jointly organized by India China Economic
and Cultural Council, Electronic Industries Association
of India and CEO Clubs China. At this meeting, Mr.
Zhongwei Tian from our Shenzhen office briefed India
companies China legal updates, focusing on FDI,
Banking and Finance and IP. Many participants such
as Allahabad Bank, Electronic Industries Association
of India and Exhibition India Group showed great
interest in further co-operation with our law firm.

Consumer Finance Product Launched Via Trust Model
Due to RayYin’s expertise in trust field, it
has been engaged by a leading Czech financial
insitution to design a structure to develop its
consumer finance project in China. Recently, a
cooperation agreement between this Czech financial
insitution and a PRC trust company has been concluded

Contributing positively to our communities and
enviroment is so important to RayYin’s principle
of development. Recently, RayYin has set up a
charitable fund for excerlent student from poor
family in Jiangsu Nanqing High School. RayYin

With the
one year implementation of PRC Anti-Money Laundering
Law, Money Laundering Bulletion(MLB), a well-known
UK based monthly publication read by financiers
and anti-money laundering specialists, is thinking
of having a special article about this law. Journalist
from MLB interviewed Hao Wang concerning the background
of implemation of this law and comparation of

Analysis on Taxation System in PRC Engergy Sector
Due
to RayYin’s specality in engergy sector and taxation
field, Argus Mediagroup, a well-known media group
for data and analysis for energy market, has asked
RayYin to contribute their thoughts in energy
related taxes in China, including what they are,
how they are levied, method of calculation and
changes to these taxes. RayYin will provide its
analysis on windfall tax, crude export tax, resource
tax, fuel tax; import duties on crude oil and

PANEL DISCUSSION WITH US LAW FIRMS
Three partners from RayYin have been invited
to hold a panel discussion with US Law Practice
Management Professional Delegation lead by the
previous chair of American Bar Association Law
Practice Management Section in Beijing recently.
Partners from 12 US law firms had attended this
event. The participants exchanged their views
concerning issues typically arising from law firms’
management and operation, e.g., distribution between
partners, how to share marketing results, associates

CHINA SUB REGIONAL MEETING OF LAWYERS ASSOCIATED
WORLDWIDE (“LAW”)IN TIANJIN
As the representative of RayYin, Mr. Yi Zhou
attended the 1st China Sub Regional Meeting of
LAW in Tianjin. Mr. Zhou together with the chairman
of LAW illustrated a successful example of case
referral between a US law firm and a Chinese law
firm where Ulmer & Berne LLP helped one of
their new clients to solve a critical employment
issue of its Wholly Foreign Owned Enterprise in
Shenzhen through collaboration with RayYin’s Shenzhen
office. Observer firms from Inner-Mongolia, Qiangdao
and Dalian expressed their interests in LAW.(

LEGAL SERVICE FOR CLEAN KNERGY CENTER OF EU DELEGATION
EU Delegation is in the process of formulating
a Clean Energy Center in China. The overall objective
of this project is to support sustainable growth
in China through promoting the use of low or lower
emission energy technologies, renewable, and energy
efficiency improvements so as to address the Energy
Challenges laid down in the country's 11th Five-Year
Plan and the objectives of the 2007 National Climate
Change Programme. Mr. Yi Zhou from RayYin has
been engaged as the expert to design the legal
framework involved for establishing such a center.
Many European Countries has showed great enthusiasm

LEGAL SERVICE FOR
KLM
KLM Royal Dutch Airlines (KLM) has providing line
maintenance for third parties airline worldwide
for years due to the arrangement of IATP. China
Civil Aviation Bureau issued a regulation to restrict
foreign airline to provide maintenance for third
parties in China. RayYin has been engaged to provide
legal analysis for this issue, which has greatly
impacted KLM’s interests in China. (Aug 8th 2007)
RAYYIN WAS ENTRUSTED
BY SERGLOBAL TO DRAFT ITS PURCHASE AGREEMENT
RayYin was entrusted to draft the purchase agreement
for the top Brazilian trading company. The agreement
will be used by Serglobal as one standard contract
to purchase various products from its worldwide
suppliers. Due to the professional legal knowledge
and quality service of RayYin, the company will
entrust RayYin to draft a number of agreements
and contracts, as well, including one exclusivity
distribution agreement concluded with its suppliers

ACCESSORIES
Due to the breach of the labor contract and violation
of relevant laws by the legal representative and
manager of the US invested Shenzhen Co., the US
shareholder and its Shenzhen Co. encountered business
operation risks and suffered economic loss. Entrusted
by the US shareholder, RayYin cooperated with
its US lawyers to deal with the disputes of the
business operation and purchase of its Shenzhen
Co. Upon the client’s requests, lawyers of RayYin
conducted a series of negotiation and discussion
with the counter parties, and have done a great
number of jobs, including investigation, evidence
collection, legal analysis, providing legal opinion
and reports, to help the clients to deal with
the disputes. Though their professional legal
service, the lawyers protected the lawful rights
and interests of the client and won the client’s

Participation in Forum for Women with Senior Professional
Titles
RayYin was invited to participate a forum with
a delegation of the women with senior professional
titles from the USA. The delegation consisted
of outstanding women representatives from several
areas in the USA, including officials, professors,
lawyers and business executives. Members of the
delegation made a discussion and communication
on "gender equality: how to succeed in man's

Legal Counsel
for Migration from HK GEM Board to HK Main Board
We have been appointed as Chinese Legal Consultant
by Xinjiang Tianye Water Saving Irrigation System
Limited (Stock Code No. 8280 on Hong Kong Growth
Enterprise Market) for providing PRC legal advisory
in seeking CSRC and HK Stock Exchange's approval
for migration of listing status from HK GEM Board
to HK Main Board and drafting the relevant PRC
legal opinions. The joint sponsors for this project
are Sun Hung Kai International Limited and KGI
Capital Asia Limited. Xinjiang Tianye Water Saving
Irrigation System Limited is the largest manufacturer
and technology enterprise in China and hopefully
will become the second PRC company next to Shandong
Molong migrated successfully from HK GEM Board
to HK Main Board by the end of year 2007. (29

in French Magazine
Togather with BERNET CASTAGNET WANTZ & Associés,
a French law firm based in Paris, RayYin contributed
an article concerning the new Bankruptcy Law in
China, which has been published in a French Magazine
named MOCI recently. The article introtroduces the
background of issuing such a new bankruptcy law
in 2006, the significent changes comparing with
the previous one and especially the impact for foreign

Following the promulgation of Administration Measures
of PRC Trust Company and Administration Measures
of Collective Capital Trust Scheme of PRC Trust
Company by China Banking Regulatory Commission
(“CBRC”) early this year, Ms. Hao Wang, the external
consultant for the new rules for CBRC, was invited
by China Foreign Economic and Trade Trust and
Investment Company and Beijing National Trust
and Investment Company for speeches concerning
highlighted issues in the new rules and impact

RayYin has been very active in academic research.
Ms. Hao Wang and Mr. Yi Zhou from RayYin contributed
an article jointly with Lusina Ho from HK University
concerning the first trust decision from a PRC
court for Trust Quarterly Review based in London.

Regulation Amendments
Ms. Hao Wang has been invited by Non-Banking Department
of China Banking Regulatory Committee, the supervisor
of PRC trust companies, to advice on the proposed
amendments of two regulations, i.e. Regulations
on PRC Trust and Investment Company Management
and Regulations on Collective Captial Trust Schemes.

Lawyers Associated Worldwide general meeting held in Beijing
Some 100 representatives, from more than 40 countries, participated in the 2006 annual general meeting of Lawyers Associated Worldwide (LAW) held in Beijing from October 25 to 28.
 LAW, an association of independent law firms located in over 100 major commercial centers throughout the world, chose 'how to better serve clients investing in China' as this year's theme.
The meeting focused on Chinese culture and policy introduction, ranging from a high context culture orientation to the government's building of a harmonious society.
Many representatives were eager to learn about China's auditing, banking and accounting systems. Related comprehensive presentations given by both Chinese experts and foreign investors with substantial experience working in the Chinese market, lasted throughout the first day of the conference.
LAW chairman Christopher C. McCracken, said that they are not here to compete but to work with local law firms to better serve their global clients, as their Chinese counterparts are more familiar with the cultural context and the social norms here.
A survey covering over 100 of LAW's clients in Britain shows that their number one concern is the current situation of China's intellectual property rights protection, according to LAW vice-chairman Martin Davies.
An official with the United States Embassy in China, Mark Cohen later gave his views on the current situation of China's intellectual property rights protection.
Cohen believes that China is reinforcing the protection of intellectual property rights, but many obstacles remain in the implementation of related laws and the execution of sentences.
RayYin & Partners PRC Lawyers is the first mainland law firm to get LAW's membership. Ray Yin partner Zhou Yi said that the firm joined LAW to widen its business scope and to upgrade its professional skills as well as management levels through interactions with its international counterparts.

(LAW) in Beijing
LAW, as a world wide lawyers association, has
80 member law firms from 50 countries and areas
all around the world, and it may provide full
legal service to clients by its lawyer-network

the only Chinese member of LAW in 2004 and has
been playing an important role in LAW. From 25th
to 28th October 2006, RayYin & Partners will
hold 2006 Annual General Meeting of LAW in Beijing.

Meeting with CBRC
Ms. Hao Wang and Thomas Lee, member of Executive
Committee of HK Branch of Society of Trust and
Estate Practitioners (STEP), visited the Mr. Kasheng
Ke, director of Non-Bank Financial Institutions
Supervision of China Banking Regulatory Commission
on Aug 23th 2006 in Beijing. Ms. Wang and Mr.
Lee introduced the establishment, development
and function of STEP and expressed their interests
to establish a Branch in Mainland China. STEP
is willing to be the bridge between overseas trust
companies and PRC trust companies to promote mutual
understanding for further cooperation.

Sino-EU Financial Services Programs
Ms. Hao Wang from RayYin was recently appointed
by European Saving Bank to conduct a series of
researches for the current legal framework of
PRC Commercial Bank, Trust and Investment Companies,
PRC Asset Management Companies, Regulatory and
Supervisory Reform and Banking Supervisions for
Sino-EU Financial Services Programs. The research
is aimed to give more insights to overseas professionals.

Speech in Withers
London
Mr. Yi Zhou and Ms. Hao Wang were invited to make
a speech titled PRC Trust Business in Withers
London office on May 12th 2006. There were 20
lawyers in its London office and 1 lawyer from
its Geneva office attended the seminar due to
the advanced teleconference technology. Ms. Wang
pointed out that due to the attraction of AIM
in London, the high net worth Chinese individuals
are seeking the help of overseas trust companies
to set up family trust when their companies successfully
floate in AIM. However, the foreign lawyers and
trustees need to understand the regulations of
foreign exchange control to comply certain reporting
obligations to PRC government. Mr. Zhou introduced
the first and the only trust case decided by PRC

found itself busy with suing importers in Eastern
Eatern Euorpe that imported forged pipe with the
same logo from China. RayYin was appointed to

Debt Collection Department Launched in RayYin
Headed by Mr. Qunjun Hong, a brand new Debt Collection Department composing of ten lawyers will be formaly launched in RayYin. Mr. Hong, pioneering in professional collection services in 2001, has provided debt collection services for quite a few credit card centers of many banks including China Merchant Bank. Recently, EBAY ENET has engaged RayYin to provide the collection service due to its advanced facility and good team work. Following the interview titled A Matter of Trust focusing the PRC trust industry by EU Chamber of Commerce Magazine last October, British Chamber of Commerce China ("BCCC")invited Mr. Yi Zhou and Ms. Hao Wang to speak about PRC Trust Law and Trust Business in Capital Club Beijing on March 2nd 2006.
