Ms. Wang is the founding partner and managing partner of RayYin & Partners P.R.C Lawyers. She specilizes in foreign investment, trusts, merger&acquisition, financial market and corporate.

After the promulgation of Chinese Trust Law in 2001, Ms. Wang was one of the first Chinese attorneys to assist clients to design commercial trust schemes. While following Professor David Hayton and Paul Matthews in London, she researched the uses of trusts in financial market.

Ms. Wang has advised many prominent international clients in designing their business structure and setting up their operations in China. She helped them from drafting agreements to negotiation. Ms. Wang has also led the legal services in sales of equity, dissolution and liquidation of businesses, labor relations, foreign exchanges and taxation matters.

Ms. Wang also has experience in corporate acquisition and overseas public offerings of foreign companies with Chinese domestic interest.

Ms. Wang has built a solid practice expertise in banking business including commercial lending, fund management, foreign exchanges management, secured transactions, financial leasing, and etc.

Some of the important deals Ms. Wang has been a team leader includes:

1. advised a world leading consumer finance player, to launch consumer finance business in China via a sophisticated trust structure including structure advice, negotiations with Trust Companies, legal opinons on business model and foreign exchange issues and documentation. This is the first time where a foreign consumer finance provider is able to lauch its products in China;

2. advised Non-bank Financial Insitution Department of China Banking Regulatory Committee on its amendments of Regulations of PRC Trust Companies and Measures and Rules for Administration of Collective Capital Trust Plans;

3. advised EU delegation in China for an in-depth research on Regulations on Foreign Funded Banks and its implementations issued by China Banking Regulatory Committee including impact for EU banks;

4. advised European Saving Bank on current legal framework on PRC commercial Banks, Trust Companies and Asset Management Companies;

5. represented and advised Finansa, a leading Thailand Bank, to acquire equities in SEEC Securities Company including legal due dilligence investigation, structure advice, negotiations and documentation;

6. represented and advised The Asia Detb Fund on legal due dilligence investigation and acquisition structure on a non-performing loan portfolio released by Shenzhen Commercial Bank;

7. represent and advised Reed Elsevier Overseas B. V., a leading international exhibition company, in its acquisition of a majority (50%) equity stake in China Pharmaceutical Exhibition Corporation, which is one of the subsidiaries of China Natinal Pharmaceutical Corporation (“Sinopharm”), the largest pharmaceutical company in PRC, for RMB 216 million, including due diligence exercise, negotiation and documentation;

8. represented and advised QAF Limited (SGX listed public company), a leading multi-industry food company with core businesses in bakery, primary production, dairy industry, food manufacturing, and trading, distribution and logistics, in its acquisition of a majority (51%) equity stake in Shannxi Hexing Fruit Juice Co., Ltd, one of the largest apple juice production company in PRC, for RMB 63.75 million, including due diligence exercise, negotiation and documentation;

9. advised RHB Bank Singapore Area Office on debt assignment and enforcement issues;

10. advised KLM Royal Dutch Airline on its Line Maintenance business set up in China;

11. advised Hugo Boss on its retail branch establishment in Beijing;

12. advised Commercial Group Property, a UK based AIM-listed property development company on real estate acquisition in China;

13. advised Goudsche Machinefabriek BV (“GMF Gouda”), a reputable manufacture for specialized machinery to the chemical and food industry in Netherlands, to set up a wholly foreign owned enterprise in Beijing.

 Involved in China's first sale of $1.5 billion worth of non-performing loans to Goldman Sachs and an international consortium led by Morgan Stanley. As a main member of a team composed of professionals from Squire, Sanders & Dempsey and Ernst & Young, I took the responsibility to protect the interest of Huarong, including drafting the contracts and ther documents of this transaction and participating in the negotiations with foreign investors;
 Responsible for the legal affairs of over 30 projects concerning debt-equity swap;
 Participated in the structural design and legal work of Hurong onshore securitisation project for non-performing assets which has been formally launched this year;
 In charge of all aspects of legal affairs of the corporate issues relating to the purchase, management and disposal of the non-performing assets transferred from Industrial and Commercial Bank of China;
 Responsible for the legal work in relation to restructuring a listed Chinese company.
 Advising Beijing Jinyu Group about legal issues of foreign direct investment with respect to the joint venture projects with TOTO and LAFARGE in China;

Professor Hayton sat as a Recorder (a part-time judge) 1984 till 2000 and sat as Acting Justice of The Bahamas’ Supreme Court in 2000 and 2001. He has been Deputy Chair of the Trust Law Committee of England & Wales since it was set up in 1994, (chairing Working Parties contributing to the Trustee Act 2000 and three topics being referred to the Law Commission).

Professor Hayton headed the UK Delegation to The Hague Conference on Private International Law for the Convention on The Law Applicable to Trusts and on their Recognition (1984) and for the Convention on Succession to the Estates of Deceased Persons (1988), and was at the heart of the preparation of the eight Principles of European Trust Law. For the Edwards’ (Home Office) Review of Financial Regulation in the Crown Dependencies (1998 Cm 4109-1) he was the trust law consultant, while in 2000 he was engaged as technical advisor to the International Monetary Fund advising on Offshore Financial Centres’ Trust Law and Trustee Regulation. He has written a Consultation Paper on Financial Services and Trust Law, 1990, (commissioned by SIB and IMRO),a Report for The Association of Corporate Trustees on Trusts and their Commercial Counterparts in Continental Europe,2002.

Professor Hayton accepted many invitations to speak at commercial and academic Conferences throughout the world and gave the opening address to the Annual Conference of Trust Lawyers in New Zealand in 1999, the Annual Superannuation Funds Conference in Australia in 2003 and the Annual Conference of Pension Lawyers in South Africa in 2004.

AREAS OF PRACTICE
Professor Matthews specializes in trust law, international and transnational litigation, especially involving offshore jurisdictions. His research and expertise is relevant to the offshore finance industry and the estate planning industry because of the use in these sectors of trusts (and other similar vehicles) based in offshore jurisdictions.

Among other subjects, Professor Matthews lectures trusts and property law and International and comparative trust law in King’s College London since 1995. As a consultant solicitor in Withers LLP, a prestigious English trust law firm, he practices in terms of English and International trust law. He has given advices on numerous trust investment schemes located both in the UK and offshore countries for commercial and financial purposes, including asset securitization via trust.

Professor Matthews is not only specialized in English and offshore trust law, but has an extensive research and experience on international trust law, esp. trust law of civilian countries. He has been invited to give speech on trust law by Spain, Switzerland, Japan and Italy. His article, the Supposed Incompatibility of Trusts law and Civilian Countries, addressing the necessity of trust law has been translated in to Spanish and Chinese.
